These Terms of Service (“Terms”) govern your access to and use of the Banyan AI platform (“Banyan AI,” “Company,” “we,” “our,” or “us”). Please read them carefully. By accessing or using the Services, you agree to be bound by these Terms.

Banyan AI provides an AI-powered automation and data-operations platform enabling users to unify data sources, deploy workflows, and automate business processes through natural language interactions (the “Services”).
We reserve the right to enhance, modify, suspend, or discontinue the Services at any time, with or without notice.

The Services are provided “as is”, without warranties of any kind except where prohibited by law.

4. User Accounts

To access portions of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain the confidentiality of your credentials

• Be responsible for all activities occurring under your account

• Notify us immediately of any unauthorized access or breach

We reserve the right to refuse or terminate accounts at our discretion.

5. Pricing and Billing

5.1 User-Based Pricing

Access to paid features of Banyan AI is billed on a per-user, per-month basis. Each active user seat in your workspace is billable. Pricing details are disclosed on our website or within the platform at the time of subscription.

5.2 Billing Cycle

Subscriptions renew automatically at the end of each billing period unless cancelled. You authorize us to charge your payment method for all applicable fees.

5.3 No Refund Policy

All payments are final and non-refundable, including (but not limited to):

• Monthly or annual subscription fees

• Fees resulting from user-seat increases

• Charges incurred but not actively used

We do not provide refunds or credits for partial billing periods, downgrades, unused Services, or cancellations.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations

• Infringe on third-party intellectual property or other rights

• Transmit harmful, malicious, or offensive content

• Attempt unauthorized access to our systems or related networks

• Interfere with or disrupt the integrity or performance of the Services

• Use the Services for high-risk, illegal, or unethical purposes

We reserve the right to investigate and remove content or suspend accounts that violate this policy.

7. Intellectual Property Rights

All software, algorithms, workflows, designs, trademarks, documentation, and other materials comprising the Services are owned by DS Ai Labs LLC and protected by international intellectual property laws.

You retain ownership of any content, data, or materials you submit or create through the Services. By using the Services, you grant us a non-exclusive, worldwide, royalty-free license to process and store your content solely for the purpose of providing the Services.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, process, and protect your personal data. By using the Services, you consent to the data practices described therein.

9. Service Availability and Maintenance

We strive to provide uninterrupted, reliable access to the Services, but we do not guarantee:

• 24/7 availability

• Error-free operation

• That data will not be lost, delayed, or corrupted

We may temporarily suspend access for maintenance, upgrades, or unforeseen operational reasons. We are not liable for any downtime or its consequences.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages

• Our total aggregate liability under these Terms shall not exceed the amount paid by you to the Company in the three (3) months preceding the claim

You acknowledge that your use of the Services is at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless DS Ai Labs LLC, its officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Services

• Your violation of these Terms

• Your violation of any third-party rights

12. Termination

We may suspend or terminate your account, with or without notice, if:

• You violate these Terms

• Your billing fails

• Your actions create risk or liability for the Company

• We discontinue the Services

Upon termination, your right to use the Services immediately ceases, and you remain responsible for all outstanding fees. No refunds will be issued.

13. Governing Law

These Terms are governed by the laws of Georgia, without regard to conflict of law principles.
Any disputes arising out of or relating to the Services shall be resolved exclusively in the competent courts of Tbilisi, Georgia.

14. Changes to Terms

We may update these Terms from time to time. Changes will become effective upon posting on our website, and continued use of the Services after such changes constitutes acceptance.
